Terms of Service & End-User License Agreement
1. Scope of License & Independent Contractor Business Use Only
ValoDesk grants you a personal, non-exclusive, non-transferable, revocable licence to use the Android application on devices you control. The app is intended for independent contractors and trade businesses. You may not resell, sublicense, reverse engineer or use the app to build a competing service except where law expressly permits it. You must have the right to store and process every client, vehicle, property, photo and job record you enter.
2. No Accountant, Tax Advisor or Attorney
ValoDesk is a calculation and record-keeping utility, not a certified public accountant (CPA), Expert-Comptable, tax preparer, accredited government e-invoicing authority, law firm or attorney. Tax rates, VAT/TVA/IVA, withholding, mileage deductions and Profit & Loss reports are estimates based on settings and data you supply. Sample waivers, inspection checklists and warranty clauses are templates for convenience only and do not constitute legal advice or guarantee enforceability. Consult qualified local professionals before filing taxes or relying on a contract.
3. Local-First Data Storage, User Backup Responsibility & Zero Liability for Data Loss
Your working data is stored in a local SQLite database on your device. ValoDesk does not operate a central customer database. You are solely responsible for configuring Google Drive, WebDAV or .vbk backups and for keeping your device, passphrase and storage account secure. To the maximum extent permitted by law, ValoDesk has no liability for lost, damaged, corrupted or unbacked-up data, or for a forgotten encryption passphrase.
4. P2P Payment Link & QR Code Routing Disclaimer
ValoDesk is not a payment processor, money transmitter, acquirer or escrow agent. Payment QR codes and links are generated locally and route directly to your own third-party account. You are solely responsible for the accuracy of every payment handle, URL and IBAN, for confirming that funds actually settled, and for customer disputes, chargebacks or reversals. Verify funds in your bank or payment app before marking an invoice Paid.
5. Google Play Subscription Terms
ValoDesk Pro is $9.99 per month, billed through Google Play. The subscription renews automatically unless cancelled at least 24 hours before the end of the current period. Manage or cancel it in Google Play Store → Payments & subscriptions. Cancellation stops future renewals; access generally continues until the paid period ends. Pro includes up to three active device seats and the device-swap limits described in the app.
6. Disclaimer of Warranties (“AS IS” and “AS AVAILABLE”)
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. You use ValoDesk in operating your business solely at your own risk. OCR, tax calculations, PDFs, sync and third-party links may contain errors or be unavailable.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALODESK’S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP SHALL NOT EXCEED THE SUBSCRIPTION FEES ACTUALLY PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $0.00 FOR FREE STARTER USERS. VALODESK IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOST PROFITS, LOST DATA, TAX PENALTIES, INTEREST OR PROFESSIONAL FEES.
8. Indemnification by User
You agree to indemnify and hold harmless ValoDesk and its owner from claims, losses, liabilities, penalties and reasonable legal costs arising from your client contracts, estimates, invoices, tax filings, messages, payment disputes, data you store, or your breach of these terms or applicable law.
